Terms of Service

These Terms of Service ("Terms") govern your access to and use of Autlantic Billing, including the merchant portal, hosted checkout, Billing API, webhooks, and related services (the "Service"). Autlantic Billing is a separate product from the Autlantic creator membership platform at autlantic.com.

By creating a merchant account, integrating the API, or using the Service, you agree to these Terms.

The service

Autlantic Billing is software and blockchain infrastructure for merchants. It helps you catalog products and prices, accept recurring USDC subscription payments on Base, issue invoices, manage customers, and settle to a wallet you configure.

Autlantic provides billing infrastructure. We are not a crypto exchange, wallet provider, digital asset marketplace, or money transfer service for your customer payments. You remain the seller of record for your products, pricing, customer relationships, tax obligations, and the goods or services you sell.

Non-custodial settlement

Customer subscription and invoice payments in USDC settle on Base to the payout wallet you configure. Autlantic does not custody customer subscription revenue and does not hold those funds in an Autlantic balance for payout later.

Autlantic may operate transaction relayers solely to sponsor network fees and submit billing transactions on Base. Relayer wallets do not custody user funds or merchant subscription revenue. See our Non-custodial overview and Security pages.

Merchant accounts

  • You must provide accurate business and contact information and keep credentials secure.
  • You are responsible for all activity under your merchant account, including team members you invite and API keys you create.
  • You must follow our Community Guidelines (our acceptable use rules).
  • We may suspend or terminate accounts that violate these Terms or pose risk to the Service or users.

Payments and crypto

  • Subscription and invoice payments are settled in USDC on Base to your configured payout wallet according to the flows in your merchant account.
  • Blockchain transactions are generally irreversible once confirmed. Merchants and customers are responsible for sending the correct amount to the correct address when a payment requires on-chain action.
  • Network congestion, wallet software, or third-party infrastructure may delay confirmation. Autlantic does not control the Base network.
  • Refunds and customer disputes for your products are primarily your responsibility unless required by law. Where supported, refunds move USDC from the merchant wallet to the customer wallet. See our Refund Policy.

Merchant responsibilities

You agree to:

  • Describe products and prices accurately in your catalog and checkout.
  • Deliver the goods or services you sell to your customers.
  • Comply with applicable tax, consumer, sanctions, and commercial laws.
  • Secure API keys, webhook secrets, and team access.
  • Not use the Service for illegal, fraudulent, or prohibited offerings.

Customers and checkout

When your customers use hosted checkout or related payment flows, they interact with Autlantic Billing infrastructure on your behalf. You are responsible for your customer terms, support, and any refunds you choose to issue, subject to on-chain limitations.

Prohibited use

You may not use Autlantic Billing to:

  • Violate laws or third-party rights.
  • Sell or facilitate illegal goods or services, fraud, money laundering, or sanctions evasion.
  • Offer pornographic, sexually explicit, adult-only, or sexual solicitation products or services. See our Community Guidelines.
  • Distribute malware, spam, phishing, or deceptive checkout experiences.
  • Attempt to breach security, scrape without authorization, or interfere with the Service.
  • Impersonate others or misrepresent affiliation with Autlantic.

API, webhooks, and developer tools

API keys and webhook endpoints must be kept confidential. You are responsible for verifying webhook signatures and for how your systems process billing events. We may rate limit, revoke keys, or restrict access to protect the Service.

Intellectual property

Autlantic owns the Service, branding, and software. You retain rights to your product catalog content and customer data you provide. You grant Autlantic a license to host and process that data as needed to operate billing for you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

Autlantic Billing does not provide financial, investment, or legal advice. Crypto assets and on-chain payments involve risk, including volatility and irreversible loss of funds.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTLANTIC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO AUTLANTIC FOR AUTLANTIC BILLING IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

Indemnity

You agree to indemnify Autlantic against claims arising from your use of the Service, your products or customers, your content, or your breach of these Terms.

Changes

We may modify the Service or these Terms. Material changes will be posted on this page. Continued use after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws applicable to Autlantic's place of operation, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue unless otherwise required by mandatory consumer protection laws in your country.

If any provision is unenforceable, the remainder stays in effect.
